1. Definitions

In these Terms and Conditions:

  • "Firm", "we", "us", "our" means Aroon Partners, a legal practice registered in Thailand and located at 268 Sukhumvit Soi 11, Khlong Toei Nuea, Watthana, Bangkok 10110.
  • "Client", "you", "your" means any individual or entity that engages us to provide legal services or accesses our website.
  • "Services" means the entertainment law advisory, contract drafting, co-production documentation, and counsel programme services described on our website and in engagement letters.
  • "Engagement Letter" means the written document issued by the Firm confirming the scope, fee, and terms of a specific engagement.
  • "Website" means the website operated by the Firm at the domain associated with this document.

2. Acceptance of Terms

By using our website or engaging us to provide Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you should not use the website or engage our Services.

Our Services are directed at businesses and professionals. By engaging us, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements in your jurisdiction.

3. Services

The Firm provides specialist entertainment law advisory services in Thailand, including talent and production contract drafting, co-production and distribution documentation, and ongoing studio and label counsel programmes. Details of each service are set out on the website and confirmed in the applicable Engagement Letter.

The Firm does not provide legal advice through the website. Material on the website is for general information only. A formal legal opinion or advisory relationship is established only through a signed Engagement Letter.

4. Engagement and Scope

Each engagement is governed by the Engagement Letter issued for that engagement, which takes precedence over these Terms and Conditions in the event of any conflict. The scope of Services is limited to what is described in the Engagement Letter. The Firm is not obliged to perform work outside the agreed scope without a written amendment to the Engagement Letter.

Changes to scope requested during an engagement will be discussed with the Client before any additional work proceeds, and the agreed variation will be confirmed in writing.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information required for the performance of the Services in a timely manner.
  • Inform the Firm promptly of any material change to the facts, circumstances, or requirements relevant to the engagement.
  • Not use advice or documents prepared by the Firm for purposes other than those for which they were prepared without prior written consent.
  • Not engage the Firm for any purpose that involves assisting with unlawful conduct.

6. Intellectual Property

All content on the website, including text, design, and structural elements, is owned by or licensed to the Firm and protected by applicable intellectual property law. You may not reproduce, adapt, or distribute website content without prior written consent.

Documents and advice prepared by the Firm for a Client under an engagement are delivered for the Client's use in connection with the specific matter described in the Engagement Letter. Broader reuse — including use in subsequent unrelated transactions or disclosure to third parties — requires prior written agreement.

7. Fees and Payment

Fees are stated in Thai Baht (฿) and confirmed in the Engagement Letter before work begins. The Firm does not commence an engagement without a signed Engagement Letter. Standard fees are:

  • Talent and Production Contract Drafting: ฿3,800 per engagement.
  • Co-Production and Distribution Documentation: ฿15,400 per engagement.
  • Studio and Label Counsel Programme: ฿38,400 per programme period.

Payment terms and methods are set out in the Engagement Letter. Where an engagement involves scope that differs from the standard descriptions, a bespoke fee will be quoted. Fees do not include any court filing fees, notarial charges, or costs incurred with third-party service providers, which are charged separately with prior notification.

8. Confidentiality

The Firm treats all client matter information as confidential and will not disclose it to third parties except as required by applicable law, by court order, or as necessary to perform the Services (including coordination with overseas counsel where agreed in the Engagement Letter). This obligation survives termination of the engagement.

9. Disclaimers

Legal advice is provided on the basis of the information available at the time and the law as it stands at the date of delivery. The Firm is not responsible for changes in law or fact occurring after the date on which advice or documents are delivered.

The Firm does not warrant that documents prepared for a Client will achieve any particular commercial outcome. The outcome of any negotiation, regulatory process, or dispute depends on factors outside the Firm's control. Website content is provided for general information and does not constitute legal advice.

10. Limitation of Liability

The Firm's liability to a Client in connection with any engagement is limited to direct losses arising from the Firm's negligence or wilful default and shall not in any event exceed the total fees paid by the Client under the relevant Engagement Letter.

The Firm is not liable for indirect, consequential, or economic losses, including loss of profit, loss of contract, or loss of anticipated savings, whether arising in contract, tort, or otherwise. Nothing in these Terms limits liability for death or personal injury caused by the Firm's negligence, or for fraud.

11. Indemnification

You agree to indemnify the Firm against any claims, losses, or costs (including legal costs) arising from your breach of these Terms or from inaccurate or incomplete information provided to the Firm in connection with an engagement.

12. Termination

Either party may terminate an engagement by written notice, subject to payment for work completed to the date of termination at the applicable rate. The Firm may terminate an engagement immediately if the Client provides materially false information, instructs work that would assist unlawful conduct, or fails to pay fees when due.

Provisions relating to confidentiality, intellectual property, limitation of liability, and governing law survive termination of any engagement.

13. Governing Law and Dispute Resolution

These Terms and Conditions and any engagement governed by them are subject to the laws of Thailand. The parties agree to submit to the exclusive jurisdiction of the Thai courts in Bangkok for the resolution of any dispute.

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith discussion for a period of not less than thirty days from the date on which one party notifies the other of the dispute in writing.

14. General Provisions

  • Entire agreement: These Terms, together with the applicable Engagement Letter, constitute the entire agreement between the parties in relation to each engagement.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to exercise a right does not constitute a waiver of that right.
  • Assignment: The Client may not assign rights or obligations under these Terms without prior written consent of the Firm.

15. Changes to These Terms

The Firm may update these Terms from time to time. The effective date at the top of this document indicates when the current version took effect. Continued use of the website or engagement of our Services after updated Terms are posted constitutes acceptance of those Terms.
