Contract Drafting Engagement

Production contracts for a digital series

Challenge

An independent producer had a six-episode digital series in pre-production with eight performers and three original music tracks. Existing template contracts from a previous project did not address performers' rights under the B.E. 2558 Act or the specific licensing requirements of the streaming platform they were targeting.

Approach

Aroon Partners reviewed the streaming platform's clearance requirements, drafted a full performer agreement set addressing both copyright and performers' rights, and prepared synchronisation licences for each music track. Documents were delivered in bilingual Thai–English format within eleven working days.

Result

The producer passed the platform's legal clearance process without a single request for further documentation — the first time this had happened on one of their productions. The contract set is now used as a template for subsequent series in the same production slate.

Co-Production Documentation

Thai–South Korean documentary co-production

Challenge

A Bangkok production company had reached a commercial agreement in principle with a Seoul-based documentary studio on a 90-minute feature. The two parties had agreed on revenue split but had not addressed rights allocation, territorial coverage, or audit procedures in any binding form.

Approach

Aroon Partners attended two negotiation sessions — one in Bangkok, one by video — and prepared the co-production agreement covering rights ownership, revenue mechanics, accounting procedures, and audit rights. Coordination with the Seoul studio's Thai-registered counsel addressed the governing law and dispute resolution provisions.

Result

The co-production agreement was signed within thirty-two days of the first session, and the closing memorandum provided both parties with a clear reference to the agreed commercial terms. The documentary entered production on schedule and completed a festival circuit covering six countries.

Studio Counsel Programme

Ongoing counsel for an independent music label

Challenge

A Bangkok-based independent music label had grown to fourteen signed artists and a catalogue of over two hundred recordings. Legal work was being handled on an ad hoc basis through several different practitioners, producing inconsistent contract standards and an unclear licensing chain for older recordings.

Approach

The Studio and Label Counsel Programme was introduced to cover all new talent agreements, publishing arrangements, and licensing negotiations. An initial catalogue audit was conducted to identify and address gaps in the existing licensing chain. Quarterly reviews have since covered the label's expansion into Malaysia and Vietnam distribution.

Result

After eighteen months on the programme, the label's contract standards are consistent across all artists, the catalogue licensing chain is fully documented, and the label passed a due diligence review by a regional streaming platform without requiring any supplementary legal work.
